I will also be voting no. Like other former BEPPA holders why on earth would I accept $4.55 for something I paid $5.08 for when times were much more bleak, especially given the net asset value is $6.35. Unless they get the support of 50% of the shareholders actually voting, this deal isn't going to happen. Presumably the bid documentation will contain an independent expert's report, but no ethical "expert" could possibly say that paying $4.55 for something worth $6.35 is fair and reasonable.
