My understanding is FFX will sell the lithium project company to NEW Lithium COY with the consideration being shares in lithium COY. FFX will distribute in specie and pro rata 100% of the shares held in lithium COY to all the shareholders of FXX. No cash is involved.

The question is the valuation of the lithium project and that will determine the number of shares. The valuation is dependent on the type of offtake agreements and any new partner. this will take a while but Doc suggested sooner rather than later.
