Missed the edit cut off but I also thought it was very strange that the first mention of the offer price in the prospectus was on Page 30.
Usually it's plastered all over the cover, in a summary table with the key dates and in the Chairman's welcome. Clearly didn't think price was an issue and that everyone would go straight to the Payment details?
While I was searching for the Offer Price I found the escrow arrangements for the Selling shareholder which aren't screaming "we're in this for the long haul". 66% are held in escrow with 3 releases as follows:
First release 10% after they announce their Half Year financial results to June 30 2021
Second Release 50% after they announce their FY results to 31 December 2021
Final 6% after they announce their Half Year financial results to June 30 2022
Fahour is escrowed until November 22 and the Executive Team can start bailing after they announce their FY results to 31 December 2021.
