In this case let's say this is part of OPES PRIME dramas and Merrill Lynch have the stock, and are selling it to Deutsche Bank. ML agree with DB a price, and instead if putting it into buy and sell depth, the simply do the cross trade off market. It means that retail gonzos like yours truly have no chance of participating....and in this case watch our end of day valuation plummet.
