One scenario I think quite likely, is a T/O bid comes in (possibly stimulated by industry whispers). RXM and people in discussions speed up the JV and declare it as a defence with a far superior outcome to investor (SH & JV partner).
I've seen it happen quit a lot.
Both in the stock market and in life.
