From my understanding the CEO manages the tactical and the board manages the strategic. By this I mean the board is responsible for succession planning, and the strategic direction that the company is taking. The CEO may present a recommendation, but the board is responsible. The CEO has a certain amount of CAPEX freedom, (depending on the size of the company) before it needs to go to the board.
The board is the representatives of the shareholders. The CEO is employed by the board.
From my understanding, there are no rigid regulatory hurdles to jump through to become a board member. If the shareholders elect you, (and you are not barred for any reason) then you are in. BUT, you are correct, the institutions look after their own and it is a club and we on HC can make diddly squat difference.
