If the 3-month period expires after the close of a pro-rata offer (like a rights issue or entitlement offer), and the company still wants to issue the unallocated shortfall shares, those shares can no longer rely on the ASX Listing Rule 7.2 Exception 3 (which allows shortfall shares to be issued without shareholder approval).
