Because it is the only real chance for a larger interest wanting in to the register to be able to take a chunk without driving the SP significantly higher ... highly illiquid trade means it is very hard for anyone to build a stake and their actions would almost certainly trigger a major run on the SP.
Whoever the placement goes to should also drive speculation as to who may be interest in moving to acquire the company in the longer term.
