Why did Suitors walked away?

- All the condition of the non bidding proposal seems to have been matched.
- Neither firm gave a reason for walking away from their separate but matching A$2.2 billion ($1.74 billion) bids.
-Vocus announced "all discussions have now ceased" with the bidders after both advised that they were unable to meet the board's terms following due diligence, but what were these conditions?
- Vocus had appointed Goldman and Sachs as financial advisor who should be knowing inside out and are buying from the market now.
- If suitors now think vocus is not worth $3.5 then what is their new valuation?
- What is the valuation the financial advisors of vocus are putting on after the DD?
- share price has plunged $1 since the announcement.
