That's not really the case. Most deals are usually flagged by announcements to the market that the co. are appointing corporate advisors thereby putting the market on notice. The issue for the market participants of course is to differentiate between the quality and likelihood of any such corporate activity occurring in the future. For example Acrux (ACR) announced the appointment of Credit Suisse as corporate advisor approx 4 months before the Eli Lilly deal.
