Given that Goodyear have their own R&D facilities, and manufacturing facilities dotted around the world, I would assume they play in a vastly different space to NTD in relation to brands they would be willing to stock. Personally I see NTD as more of a no frills competitor, stocking brands Goodyear may see as inferior to their own, and as such would have no intention of taking over NTD. They probably see NTD as more of a thorn in their side, eating into their own market share. All IMO only, and pure speculation.
Regarding your first question, it would probably depend on the laws in whichever jurisdiction they are operating, as to how end of life tyres are disposed of. Interesting point though, given there would be rather large fines should disposal laws not be followed.
