May I comment on the statement about directors obligations. A director is fundamentally obliged to act in the best interests of the corporation and shareholder value is part of that. When balancing decisions for the strategic governance of the company many issues need to be assessed covering short term v long term investment considerations, risk overall, future development of the property (in our case intellectual property) and how best to maximise return and so on. Directors have obligations in relation to propriety, good faith, conflict and due diligence. So in saying their only obligation is to preserve shareholder value, it’s part of the equation and one must look very broadly at how that can be achieved.
Some argue the latest deal is aimed at company independence and development. Some say the CR has seen an erosion in value and others say that this is an unfortunate market reaction in unsettled times and we need patience to see how the year turns. We have differences in views but all share in the desire for positive outcomes for patients and cancer treatment.
Ultimately we will see what transpires and the big picture that the Board has in mind and it’s evolution to truly assess whether the directors have acted in the best interests of the company - because after all it is a test we analyse against events that unfold in an historical context.
So while so many of us are baffled now by certain decisions, we either trust to a large degree in the Board to have this overarching strategic vision and hold, or sell our holding if that trust is lost.
