Why sell below offer price?

    Can someone please explain to me why people are selling their share for a price lower than what the know they will get for it under the offer? Slightly different question is, why has the price slipped bellow an offer? Is it because someone is "skilfully" lowering the price so that we will vote in favour of the offer?
