    The target's shareholders vote in a scheme of arrangement not the bidder's so not sure why you're referencing that. In any case, I doubt any potential SMR/BRL tie-up would be a friendly bid given BRL management and the tie up with Talleys. 

    An acquisition also doesn't require a special resolution. Golden have a 25.5% vote. They can effectively block a takeover of SMR itself by way of scheme of arrangement but can't block SMR doing the same to another company nor block SMR from issuing its own script. In any case if SMR really wanted to do anything could just do a 5-10% placement to a strategic/institution prior and dilute Golden down below 25% anyway.
