Ross Burney is Chairman of Oncard and CEO of the Taverners Group which is Scanlon's private interests. Presumably Abotomey & Co have approached the board and asked them to wind it up and the board has declined.
Scanlon certainly has the means to buy all other shareholders out, I can't see him giving up control without a fight.
VInvestor123 makes a good point, 12 years as CEO, no shortage of shareholders who have been waiting a rather long time for a payout, they will get plenty of votes.
Perhaps it might come down to how strong a case Robinson can put forward on his plans for the company.
