why would an ag resign?

Being Attorney General is one of the most senior and prestigious position in Cabinet.

Roxon has only been A-G since December 2011. She, along with Julia Gillard, Wong, Macklin and Plibersek are all members of Emily's List, so it's unlikely that she has fallen out of favour with the PM.

Why would she resign to sit on the back bench 3 days after an election is announced, 8 months out from an election, and at the same time the Victorian Fraud Squad is expanding its investigation into the Wilson/Blewitt/Gillard AWU fraud scandal?

Given that Roxon took over conduct of Gillard's legal files when she was sacked from Slater and Gordon, including the AWU ones, is there any connection?

Is it significant that as a backbencher, Roxon will now not have to answer any questions in Question Time?

Why would anyone give up a prestigious position and half their salary?

    Something is seriously fishy.
