To avoid being insider trading since Lazard is acting as financial advisor to sigma.

It would be very unfair for sigma management to sell off large part of the business and paying off most of the debts. But do no to return some capital to shareholders.

Also most importantly, the board of directors will keep their fat pay cheques from the company but what is in it for all other shareholders?? My guess is Orbis is keen to get some capital return from the 900 Millions deal.
