    It is decided on those votes NOT SOI a heck of a lot of holders dont vote. Our SOI are about 1.35 billion but only about 350 million will be votes. In this hypothetical the company needs 75% to get it up at the scheme meeting ie 262,500,,000 shares voted for the resolution. If 25% plus some vote against the the resolution wont pass.
    To complicate my explanation there is also and adjustment made for poll votes and this is one of those.
