Just a guess, but I'd say Mega will offer say 20% of issued stock in the initial float and look to have it underwritten for $42M.
Our stake would be nominally worth $70M at IPO due to the underwriting but will the stock then hold it's value once it starts trading?
Larger SER SH's may have some influence here as to whether they hold or cash out as we would hold over 60% of float under the above scenario.
