Ric, last try - the Mega stock going into the public IPO will be UNDERWRITTEN to a value that provides a valuation in line with a $210M mkt cap satisfying our 33%/$70M condition.
No guarantees once the stock trades but given the underwriters are potentially exposed as we are they are not going to pitch it beyond reasonable value.
Once again, our stock will represent 33%
Existing Mega SH's will retain say 47%
The remaining 20% will be offered to the public in an underwritten float for approx $40.
This is roughly in line with both the successful Focus & Northern IPO's.
SER have stated that they have had no alternate offers of any substance but would consider any that were presented. Nothing reported to date.
