In the end it comes down to the judge/arbitrator and the law. You can propose all sorts of legal arguments and it will come down to the Judge deciding what is right.
Glad it's not in the USA where they would simply say - where is the warning on the iron saying "do not iron while wearing the clothes" or coffee cup stating "contents may be hot" or in our case "buying the company is not a transfer of control".
In the end it comes down to the judge/arbitrator and the law....
