exactly in the BBI / BEPPA situation they gave the shareholders token value. Still not sure how the board got away with that one. Actually they did it by having their advisors hire "independent expert" who was paid to say the deal was 'fair and reasonable'. A friend who was MD in M&A advisory at said firm told me you could get the independent experts to make up whatever numbers you wanted.
