Something pretty fundamental and I am embarassed to ask but I will.

If a co (say CVI) issues more shares. Can these be simply issued to a broker or someone at not cost and then simply sold at whatever price ? The money then transferred back to mother co with some fee to the borker or who ever ? I mean can that be done ?

Next thing: If a co says that they are issueing x number of sharesa that are fully underwritten at y cents. Can one still do the above that is simply state that they are underwritten at y cents but in fact not a dime is exchanged, the share are just printed and then sold on market.

U see I dont know how this works can someone tell me. As I would ahve thought that it would be impossible for CVI to just issue a number of shares, then just sell them and then just pocket the cash. It just seems crazy
