I presume the key to yor argument is "undirected proxies" so it is fair to assume that if you were at the meeting and saw this in print and then heard confirmation verbally from the Chairman that indeed he would be voting infavour of all the Resolutions.

Were I there and heard him say that I would assume he was being very fair and confident of his position that undirected Proxys would be in favor of all resolutions.

If he then applied undirected Proxys to save himself by voting AGAiNST resolutions to remove the Board then he acted the opposite to what he told the meeting?

Have I got this right?

Maybe this is the basis of the Palmer move?.

Either way July 19 will bury the whole situation and we can get back to concentrating on the share price!
