Regarding the $12m placement as per their announcement:

The issue of Placement Options and the Placement Shares to be issued to related parties is subject to prior shareholder approval at a general meeting of the Company, anticipated to be held in late February 2023 (General Meeting) and, if approved, the Company will issue all Placement Options as well as the Placement Shares to related parties, soon after the General Meeting;
