Further to my post .... in effect the minimum that needs to be raised from shareholders is $1.85m.
1.85 from shareholders
2.15 from note holders

4.0 minimum raising
Any amount raised between 1.85 & 4 goes to Note holders. Anything above 4m goes to additonal working capital.
