There are scenarios where a 1:1 or a 1.5:1 scrip offer would result in an increase in Earnings Per Share for ADN shareholders. One factor is the cash boost from cash held by MEP moving into ADN coffers ( less dilution when ADN gets to point of funding the project ).

I think a 1:1 scenario would boost EPS for ADN shareholders by up to 18%.
I think a 1:1.5 scenario would boost EPS for MEO shareholders by up to 8%.

Partly comes down to timing for funding ( optimally after a merger ).

ADN shareholders would get a boost in earnings per share.

MEP shareholders would get a quick boost in the value of their shares.
