BHP is effectively giving away BHP Petroleum to its' shareholders. It is just that BHP Petroleum is being given to the shareholders in the form of shares in Woodside who will then own BHP Petroleum. The BHP shareholders will then own 48% of Woodside whilst existing Woodside shareholders will own 52% of the new much bigger business.
BHP then shrinks to being 4/5 of it's previous size, having received nothing for BHP Petroleum.
