    • ACQUISITION OF 100% OF PENFOLD MOTOR GROUP FOR CONSIDERATION OF A$104 MILLION
    • ACQUISITION EXPECTED TO BE DOUBLE-DIGIT EPS ACCRETIVE ON A PRO FORMA FY22 BASIS
    • SCRIP COMPONENT PRICED AT A$3.02 PER SHARE RESULTING IN 5.2 MILLION NEW SHARES TO BE ISSUED AT COMPLETION
    • CURRENT OWNERS & OPERATORS OF PENFOLD WILL CONTINUE TO OPERATE BUSINESS UNDER CO'S OWNERSHIP
    • ACQUISITION CONSIDERATION TO VENDORS WILL BE IN FORM OF A$88M IN CASH AND SCRIP OF A$16M
