It's more likely that he is considering retirement than taking shares in a small cap ASX listed company.

If it was me I would take the cash too. This is an irrelevant question. Take $41.3m or shares in a small cap company when the share market is at record levels? You do understand the concept of buy low sell high, right?

The better question to ask is why IOU would be willing to spend that amount of cash on an acquisition. Typically when management choose to use cash to acquire it speaks to the value of the investment.
