With respect, I doubt that the video you saw was from Morgans. The latest research update on IVX from Morgans dated 4 September 2015 has an 8c short-term price target on the stock.

I do not think that the directors could abstain from voting their shares in favor of resolutions they would have to recommend for the second and third tranches of options to the US financial institution. However, that does not matter, as there is no doubt that a majority of shareholders will vote this down.

It is a good thing that the Board decided not to do a capital raising for existing shareholders at 1.4c. If such a capital raising were open when the results of the nadolol smoking cessation trial are announced, then that would send mixed signals to the market, limiting the boost to the share price that we all hope will occur.
Any existing shareholders who wish to top up at 1.4c can do so by buying on the market, so no one is missing out.
