its not the debentures.. its the payment of cash to an entity with conflict of interest.. only shares allowed as payment.. no cash
an alternative is do a JV possibly.. my assumption is that the 2 G's have some short term debt funding their acquisition and need cash instead of shares to close it out.. IF that is the case and liquidity is an issue.. then both JV and share buyout are a problem for them to accept.. im sure they will come up with some other way of getting this oevr the line soon enough
