The US$3 reimbursement fee cap also applies under the following condition copied from the announcement - a transaction agreement involving Nearmap and Thoma Bravo shall not have been entered into.

For Nearmap to agree to this provision tells me a majority of the board are in favour of the offer. As a shareholder since 2015, I am hopeful of a higher offer but don't think that's likely. I will be sad to see it sold to private equity.
