    Here the wording seems clear to me.

    ...only to:

    "Persons who are “qualified investors” (as defined in Article 2(e) of the Prospectus Regulation);

    to fewer than 150 natural or legal persons (other than qualified investors); or

    in any other circumstance falling within Article 1(4) of the Prospectus Regulation"

    But the in specie distribution is a different story.

    Here the wording is:

    ...in:

    Germany, where (i) the Firefinch Shareholder is a “qualified investor” (as defined in Article2
    (e) of the Prospectus Regulation)
    or (ii) the number of other Firefinch Sharehobelders is less than 150

    Furthermore...
    Taking up the offer is an active decision. You need to be qualified for it.
    But the in specie distribution is an automated process.
    No decision required from shareholders, so no qualification needed.
