Been in it for 17 years wants out is my guess project wins require increasing equity for WIP financing.
Earn out not really important as did not take any equity upfront but all in cash. Will hang around until the withholdings of $600 K paid from 50% of free cash flow ie when currnt WIP invoiced and paid on project delivery. Then 40 mouths to feed until next project delivered.
Need more capital if chasing larger projects as customers want certainty in financial capability to deliver. PWN has a little in bank but I am guessing thjey need at least $5m equity for bigger projects they are chasing as customer CFOs will want assurance of financial capabilities to deliver.
"transformational" acquisition I though the last 2 were then the online sales
Will keep an eye on things but they need more equity raised to get anywhere.
