Just observing that when one company acquires another the purchase price is not necessarily deducted in total from the cash chest. Much will depend on how much cash the acquired company had and what assets the buyer might sell for cash. So $20M is a maximum figure and the buyer will have assessed that the value is greater than that or it would not have proceeded.
