I guess the conflating issue is that consolidations happen mostly with poorly performing companies - so it's not surprising that post consolidation the sp falls for such companies
a consolidation for a well run company with good prospects shouldn't adversely affect the overall market cap - but as I said this scenario doesn't occur very often, so people just automatically assume that the consolidation will be bad news for the mcap
