    technically you are correct, in reality you are wrong.
    the only way you will be correct is if all current shareholders band together to vote against it.

    now what do you think the probability of this occurring is????

    armchair discussions against practical reality.

    and if by some miracle you are correct, then my capital is still safe as the deal doesn't go ahead.

    therefore I don't have to pay up.
    my capital is dependent on the deal going ahead!!!
