consideration for the acquisition by Zip of all the issued capital of Sezzle (Sezzle Acquisition) (Consideration Shares). The
Sezzle Acquisition is subject to various conditions precedent, as detailed in Zips ASX announcement dated 28 February
2022 (ASX Announcement).
