Let's assume that @benlinzm is not telling lies. 3M needs to be bought by OZ instos (3M/0.8 = 3,750,000 shares).
Let's assume that the tweet released by some posters is also correct. $1.67 price goes to Canadian investors, representing a 100% premium of the most recent close price of 83.5cents.
Canadian investors will buy 3,750,000 shares at 1.67 (=$6,262,500 raised) and need to sell them at 80c (a slight discount relative to 83.5cents) to OZ investors.
It looks strange as it is a "buy-high-sell-low" scenario, but this is how the tax scheme works. A flow-through share is a type of common share that permits the initial purchaser to claim a tax deduction equal to the amount invested.
Canadian investors can get a bunch of tax benefits to cover their losses fully and even with more returns. Canadian gov is using this scheme to help junior explorers raise funds.
IMO, this is good for all parties. Canadian investors will get many tax benefits; WR1 will raise $6,262,500 at a 100% premium of 83.5 close prices; OZ investors will get a good entry point at 80cents.
I'm not sure whether my above interpretations are right or not. But I think the flow-throug-share scheme creates a "win-win-win" situation for all parties, slightly at the expense of Canadian Tax Authorities.
