I posted this in the MEP forum the other day, thought it might also be useful reading here in terms of ADN’s prospective stance with respect to waiving conditions in the take-over bid if the 90% condition is not achieved.
Personally I consider ADN is likely to waive conditions now that over 50% support has been achieved, and if 75% is achieved it is game, set and match (in my respectful opinion only) due to ability unilaterally to pass Special Resolutions that would arise from that level of shareholding.
In the alternative, 75% support would indicate to ADN the threshold level required for a Scheme of Arrangement process, which could see them pivot to plan B instead,
