Corporate law 101. In Australia there are strict laws governing BoD. The personal and company penalties that apply are significant. Assuming a compelling business case. If you think a director (PLL BoD rep) can then make decisions that aren’t in the best interest of the company/shareholders of the board he/she sits on you clearly need to do a bit more research.
It would be a case of ‘see you in court’ for which there are many precedents. Nice class action as well.
