The directors know of no potential takeover offer or anyone considering a takeover, fair enough, however, "THEY KNOW IT IS A DISTINCT POSSIBILITY" and they knew that in 2014 that was why they put the clause there in the first place, now it is three years down the track and more a probability than a possibility imo
