The Proposed Transaction will reorganise the Avita Group’s corporate structure by inserting Avita US as the new parent company of the Avita Group.Having a company incorporated in the United States as the Avita Group’s parent company will mean the Avita Group’s corporate structure will be aligned with its business operations, since:

A majority of the Shares (taking into account Company ADSs) are currently beneficially held by investors in the United States;

All of the Avita Group’s current business operations are located in the United States, where nearly all of the Avita Group’s employees are located; and

The key market for the Avita Group’s business is the United States, where the Company derives virtually all of its revenue.This structure will be more easily understood by potential investors and transaction partners in the United States.
