mess of acquisition

Anyone got any thoughts on this announcement from RFG? How is it a deal is done, then in the due diligence process the seller ends up getting an extra $16m, plus the keys to running all their QSR . So basically the Crust guys said we also want to run the show because we don't believe you can!

A company that just acquires other brands/groups should have significantly better negotiating skills. Looks Like the cart leading the horse, doesn't provide any confidence !

Simply acquiring groups to mask their core network closures doesn't work as a business model! Are my perceptions correct or have I missed something??
