Why does the acquiree choose this particular acquirer?
If you are the owner of acquiree, it is more likely that you would like to be become the major shareholder (more than 50 per cent) of the acquirer after the acquisition of the acquiree (back door listing).
In order to gain the controlling ownership of the acquirer, the number of new shares to be issued to you should be more than current outstanding shares.
More outstanding shares mean lower agreed share price.
This is the reason why the contents of the deal are more important than the announcement of the deal.
