If you are the owners of the acquiree, actually you could establish a new firm and apply for IPO via ASX if you have a solid business prospect.
Why do you need the acquirer?
If you are the owners of the acquiree, you would like to control the acquirer since you will be paid by new shares of the acquirer instead of cash.
If the outstanding shares of the acquirer are 560 million and you would like to control 70 per cent of the acquirer, new shares to be issued to you would be computed as follows: 560 million/0.3 x 70 per cent = 1.3 billion.
