In regards 3 dont forget that Company Directors are shareholder appointed and cannot be fired, they can only resign, retire or be removed by a resolution of the company, often by way of a section 203D of the Corps Act if shareholders want it or if they breach or fail to satisfy a range of regulatory matters including bankruptcy, criminal charges, medical conditions etc. Executives who are Board members can be fired from the executive role but not the Board role. Executives other than the CEO are of no consequence to the shareholders other than their performance as employed staff. They only really come under the eye of shareholders through the Directors & Officers insurance or where the Board sub-committee involved in remunerations includes the KMP as included in the D&O insurance.

Most punters dont know the difference even when explained to them.
