The Board cannot sell PLS, it is owned by the shareholders. The Board can make recommendations but every shareholder owns his/her shares until they elect to sell - EXCEPT if the takeover player gets to 90% of all shares, in which case they can get permission to take the rest if they want them.
A hostile t/o is when the board recommends against but the t/o player buys up at their offer price
